Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and JMN Investments Research Private Limited (“JMN,” “we,” “us,” “our”), and govern your access to and use of our software products: our applications, add-ins, APIs, and the websites and support channels we provide with them (each a “Service” and together the “Services”). By installing or using a Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

If you are using a Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and “you” means that organization.

What these Terms do not cover. These Terms govern JMN’s software products only. Our research, analytics, and advisory engagements are governed by the engagement letter, master services agreement, or statement of work signed with the client, not by these Terms. Nothing here varies those agreements.

Where you have a separate written agreement with JMN (an enterprise order form, an MSA, or a data processing agreement), that agreement prevails over these Terms to the extent it conflicts with them, on the subject matter it covers. That includes, where negotiated, governing law and dispute resolution (section 19), limitation of liability (section 16), indemnities (section 17), security commitments, and data-protection terms.

1. Scope of these Terms

These Terms are our standard self-service terms, and they apply to every JMN software product that links to them, today and in the future. Individual Services may have additional product-specific terms presented to you at sign-up; where those conflict with these Terms, the product-specific terms prevail for that Service.

The exclusions and overrides in the box above form part of these Terms.

2. The Services and your licence

Our Services include AI assistants that work inside your existing tools. Where a Service runs in a spreadsheet, it can read your active worksheet and your current selection when you send it a message, answer questions, and produce summaries, financial models, and analyses in response to your prompts.

Subject to these Terms and to your payment of applicable fees, JMN grants you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and use the Services for your internal business purposes for as long as your access remains active. The licence is terminable only as provided in these Terms; we do not revoke it at will. We reserve all rights not expressly granted. This licence does not permit you to provide the Services to third parties as a service, or to use them to build or train a competing product.

3. Eligibility, accounts and security

The Services are intended for business use by persons who are at least 18 years old and have the legal capacity to enter into these Terms. They require a valid JMN account.

We may suspend or terminate an account that we reasonably believe was registered with false information or is being used in breach of these Terms.

4. Fees and payment

Some Services, or some features of them, are paid. The fees and rates that apply to you are those set out in your order form, quotation, or invoice. We will make the applicable fees clear to you before you incur them.

How you pay Fees are payable against an invoice, by the due date stated on it. Payment may be made by bank transfer to the account details set out on the invoice, or by card using a secure payment link we issue to you. Card payments are processed by our payment provider on its own PCI-DSS-compliant pages; card details are never entered on our website, and JMN neither receives nor stores your card details or banking credentials. We do not charge you automatically and do not establish recurring payment mandates — each payment is initiated by you against an invoice.
Taxes Fees are exclusive of taxes unless stated otherwise. You are responsible for all applicable taxes, including GST, VAT, or sales tax, and for any withholding required in your jurisdiction.
Rate changes We may change our fees and rates. We will give you at least 30 days’ notice before a change takes effect. Fees you have already paid are not affected.
Non-payment If an invoice is not paid by its due date, we may suspend access to the paid Service until it is settled.

5. Stopping use and refunds

You may stop using the Services at any time. If you would like your account closed, contact support@jmnirl.com.

Except where a refund is required by applicable law, or where we have agreed otherwise in writing, fees already paid are non-refundable, and we do not provide refunds or credits for unused time or for periods in which you did not use the Service. If we terminate your access for convenience (and not for your breach of these Terms), we will refund any fees you have prepaid for the unused remainder of your term.

“Your Data” means the chat messages, prompts, spreadsheet content, files, and other material you submit to the Services. As between you and JMN, you own Your Data. You grant JMN a limited licence to host, process, transmit, and display Your Data solely to operate the Services for you, to provide support, and as otherwise described in the Privacy Policy.

You represent and warrant that:

Before you use them. Each time you send a message, our AI-enabled Services send your prompt together with a snapshot of your active worksheet and the values in your current selection to a third-party AI provider for processing. Only use them on content you are authorized to share. If you handle client confidential material under an NDA or a regulatory restriction, check that this processing is permitted first.

What we commit to in return

The Privacy Policy sets out the operational detail behind these commitments: the categories of sub-processor we use, where data is processed, how long each category of data is retained, and how we notify you of a security incident.

8. AI-generated output

Our AI-enabled Services use artificial intelligence to generate their responses, including summaries, financial models, calculations, and analyses (“Output”). AI output is probabilistic: it may be inaccurate, incomplete, or out of date, and it may look confident and well-formatted while still being wrong.

9. Not financial advice

Not financial advice. Output from the Services, including financial models, valuations, data extractions, analyses, and summaries, is provided for informational purposes only. It does not constitute investment, financial, trading, legal, tax, or accounting advice, and it must not be relied on as the sole basis for any investment or business decision. The Services are tools that support professional judgment; they do not replace it.

JMN is not acting as your investment adviser, broker, or fiduciary in providing the Services, and no advisory relationship is created by your use of them. Nothing in the Services is a recommendation to buy, sell, or hold any security. You remain solely responsible for your own due diligence and for any decisions you make.

10. Feedback

If you send us suggestions, ideas, bug reports, or other feedback about the Services (“Feedback”), you grant JMN a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate that Feedback into our products and services, without obligation to you. Feedback is given voluntarily and is not your confidential information. We do not claim ownership of Your Data through this section, only of the Feedback itself.

11. Intellectual property

The Services, including their software, models, prompts, interfaces, design, documentation, and the JMN name and logos (the “JMN Materials”), are owned by JMN or its licensors and are protected by copyright, trademark, and other intellectual property laws. Except for the licence in section 2, these Terms transfer no rights in the JMN Materials to you. You retain ownership of Your Data.

12. Third-party platforms and providers

Some Services run inside third-party applications, for example an add-in hosted in Microsoft Excel, and may be distributed through third-party marketplaces such as Microsoft AppSource. Your use of that host application and its marketplace is governed by its provider’s own terms, not by these Terms. That provider is not a party to these Terms and is not responsible for our Services.

The Services also depend on service providers we select and engage: our AI, authentication, and hosting providers. We remain responsible for those providers to the extent set out in the Privacy Policy, in any Data Processing Agreement we have with you, and as required by applicable law. The Privacy Policy lists the categories of provider we use, and we will name our current sub-processors on request.

Separately, you may choose to connect a Service to third-party services or data sources that we do not select or control. We are not responsible for the availability, content, accuracy, or practices of those services, and your use of them is governed by their own terms.

13. Confidentiality

Customer Confidential Information” means Your Data, the Output generated from it, your account and billing information, and your non-public communications with us, including support correspondence.

We treat Customer Confidential Information as confidential and will use it only to provide and support the Services. We will not disclose it to third parties except: to the service providers who help us operate the Services (bound by confidentiality obligations, and only to perform their functions for us); where you direct or consent to it; or where we are required to do so by law, regulation, or valid legal process, in which case, where we are legally permitted, we will give you notice so that you can seek protective relief. This obligation survives termination of your account.

14. Service management and availability

We may, but are not obliged to, monitor the Services for breaches of these Terms, and we may restrict, suspend, or remove access or content that we reasonably believe violates them or poses a risk to the Services or other users.

We may modify, update, or discontinue features of a Service. Where a change materially reduces the core functionality of a paid plan, we will give you reasonable notice, and you may cancel and receive a pro-rata refund of prepaid fees for the unused remainder of your term. The Services may be unavailable during maintenance, or because of failures in networks or third-party services outside our control. We do not commit to a specific uptime level unless we have agreed one with you in writing.

15. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY OUTPUT WILL BE ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR YOUR PURPOSES. YOU USE THE SERVICES, AND ANY OUTPUT, AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of certain warranties. To the extent an exclusion is not permitted, it does not apply to you, and nothing in these Terms limits rights you have that cannot be waived by agreement.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JMN AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, OR DATA, OR FOR ANY TRADING OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

JMN’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO JMN FOR THE RELEVANT SERVICE IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) THE FEES PAYABLE FOR ONE MONTH UNDER YOUR THEN-CURRENT ARRANGEMENT WITH JMN.

The cap is calculated in the currency in which you pay for the Service.

Exceptions to these limits

The limits above do not apply to: (a) fraud or fraudulent misrepresentation; (b) wilful misconduct or gross negligence; (c) death or personal injury caused by negligence; (d) your obligation to pay fees due under section 4; (e) your indemnity obligations under section 17; or (f) any liability that cannot be excluded or limited under applicable law.

Subject to those exceptions, these limits apply to all claims, whether in contract, tort (including negligence), or otherwise, and reflect an agreed allocation of risk between us. Enterprise customers may negotiate different caps, including enhanced caps for confidentiality, security, and data-protection claims, in an order form or master services agreement; contact support@jmnirl.com.

17. Indemnification

You agree to defend, indemnify, and hold harmless JMN and its directors, officers, employees, and agents from and against any third-party claims, damages, liabilities, losses, and reasonable legal costs arising out of or relating to:

Ordinary use of the Services in accordance with these Terms does not trigger this indemnity.

Indemnification procedure

The party seeking indemnity will: give the other party prompt written notice of the claim (a delay only reduces the indemnity to the extent it causes prejudice); allow the indemnifying party to control the defence and settlement, using counsel of its choice; and provide reasonable cooperation at the indemnifying party’s expense. The indemnifying party may not agree to any settlement that admits fault, imposes a non-monetary obligation, or fails to fully release the indemnified party, without that party’s prior written consent. The indemnified party may participate in the defence at its own cost.

Enterprise customers may request a reciprocal JMN indemnity covering claims that a Service itself infringes a third party’s intellectual-property rights. Contact support@jmnirl.com.

18. Term, suspension and termination

These Terms apply for as long as you use the Services. You may stop using them at any time (section 5).

We may suspend or terminate your access immediately if you breach these Terms, if we are required to do so by law, or if your use poses a security or legal risk to us or to other users. We may also discontinue a Service on reasonable notice, in which case section 14 applies to prepaid fees.

On termination, your licence ends and access ceases. We will delete or anonymize Your Data within 30 days after account closure or a valid deletion request, subject to data we are required to retain by law and to documented backup cycles. While your account remains active, we will process deletion requests in accordance with the Privacy Policy, which also sets out the retention period for each category of data.

Sections 7 (your warranties), 8 (ownership of Output), 10, 11, 13, 15, 16, 17, 19, and 21 survive termination.

19. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws principles.

We would like to resolve any dispute informally first: please contact support@jmnirl.com and we will try in good faith to resolve the matter within 30 days.

If we cannot, the dispute will be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually appointed by the parties. If the parties do not agree on the arbitrator within 30 days after a written request for arbitration, the arbitrator will be appointed in accordance with section 11 of the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Chennai, India, and the language will be English. The arbitrator’s award is final and binding. Subject to the above, the courts at Chennai, India have exclusive jurisdiction, and either party may seek urgent injunctive relief from those courts at any time.

Where mandatory local consumer law gives you the right to bring proceedings in your own country of residence, this section does not remove that right.

20. Changes to these Terms

We may update these Terms from time to time. We will update the “Last updated” date above, and for material changes we will give reasonable advance notice, by email or in the relevant Service, before they take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not accept them, you may stop using the Services under section 5.

If you have prepaid, changes that are materially adverse to you do not take effect for fees you have already paid. This does not apply to changes required by law or regulation, changes needed to address a security risk, or changes that only add protections for you. Those may take effect during your term.

21. General terms

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and JMN in relation to the Services, and supersede any prior understandings on that subject. Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions stay in force. Waiver. A failure to enforce a provision is not a waiver of it. Assignment. You may not assign these Terms without our written consent; we may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets. Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices. We may give notice by email to the address on your account or through the relevant Service; notices to us should go to support@jmnirl.com. No third-party beneficiaries. These Terms create no rights for anyone other than you and JMN.
